1. Introduction and acceptance
These Vendor Terms are an agreement between OrderFastNow Limited ("OrderFastNow", "we", "us", "our") and every business that operates a storefront on the OrderFastNow Platform (each a "Vendor", "you").
These Vendor Terms apply in addition to the OrderFastNow Terms of Service (the "General Terms"), which are incorporated into this agreement by reference, together with the Privacy Policy and any other policies referenced from either document. Where these Vendor Terms and the General Terms differ on a matter concerning your business relationship with us, these Vendor Terms prevail; on all other matters, the General Terms govern.
You accept these Vendor Terms by creating a business on the Platform, and reaffirm that acceptance by continuing to operate one. If you are accepting on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" includes that organisation.
Capitalised terms used but not defined here have the meanings given in the General Terms.
2. Additional definitions
- "Business" means the business you create and operate on the Platform, including its storefront, Listings, and settings.
- "Team Member" means a person you have invited into your Business in an owner, manager, or staff role.
3. Your business
a. You agree to provide accurate, current, and complete information about your Business, and to keep it up to date, including your public storefront contact details.
b. You represent and warrant that you have full power and authority to enter into and perform this agreement, and that, where your Business is a registered entity, it is duly registered and in good standing under the laws of the Federal Republic of Nigeria or its place of organisation.
c. You are receiving the Platform's services for the purposes of carrying on a business, not for personal, household, or family purposes.
d. Business onboarding is currently available in supported countries only, as shown at signup. We may extend, limit, or stage availability by country.
4. Team members and roles
a. You may invite Team Members into your Business in one of three roles: owner, manager, or staff. What each role can do is enforced by the Platform on every action, not merely hidden in the interface.
b. Requesting payouts is restricted to the owner role by default. Owners may not delegate payout authority except through the role controls the Platform provides.
c. An invitation takes effect only when the invitee accepts it. Until acceptance, the invitee has no access.
d. You are responsible for the acts and omissions of your Team Members on the Platform as if they were your own, and for removing access promptly when a Team Member leaves your Business.
e. If ownership or control of a Business is disputed, we may request documentation to determine the rightful owner (for example, CAC registration documents or government-issued identification) and may restrict the Business until the dispute is resolved.
5. Your storefront and subdomain
a. When you create a Business, you choose a store name that becomes your storefront address in the form {storename}.orderfastnow.com. This is a revocable licence to use that subdomain while your Business remains active and in good standing on the Platform. It is not a transfer of any ownership in the name or the domain.
b. Certain names are reserved and cannot be registered. You must not choose a name that infringes anyone's trademark or other rights, that impersonates another person or business, or that is misleading or unlawful.
c. We may reclaim, suspend, or require a change of a subdomain where we reasonably believe it violates this Section, in response to a substantiated third-party complaint, or where required by law.
6. Listings
a. You may offer Listings across any of the Platform's four categories: physical and digital products, bookable services, reservable spaces, and ticketed events. You control your Listing content, pricing, availability, theming, and fulfilment settings, and you are solely responsible for all of them.
b. Every Listing must be accurate. What a Customer sees before paying must match what they receive. You must hold all rights, licences, permits, and approvals needed to offer everything you list.
c. You must not list anything unlawful or prohibited under Section 10 of the General Terms. We do not review or approve Listings before they go live; that does not make an unlawful or prohibited Listing acceptable, and we may act on violations under Section 15 of the General Terms and Section 18 below.
7. Fulfilment is your responsibility
a. You fulfil your own Orders. The Platform requires you to declare how: if you offer pickup, you must provide a genuine, operational pickup address; if you offer delivery, you must define your own delivery zones and set your own delivery prices for each zone.
b. Delivery is carried out by you, using your own riders or Delivery Agents you engage under Section 8 of the General Terms. We are not a party to any delivery, and we make no promises to any Customer about delivery timing. Delivery timeframes you communicate are your commitments.
c. The delivery fee a Customer pays belongs to you. It is exempt from our commission and is passed to you in full as part of settlement. How and how much you compensate your riders or Delivery Agents is entirely between you and them.
8. Fees and commission
a. Our commission is 8% of the Order subtotal, capped at ₦10,000 per Order. The commission is computed once per Order and allocated across the Order Items in it. Delivery fees are excluded from the commission calculation.
b. The commission rate and cap displayed on the Platform at the time an Order is placed are the ones that apply to that Order. We may change our fees for future Orders by updating the Platform and giving notice under Section 20 of the General Terms.
c. We may be required to charge value added tax or similar taxes on our commission, in which case such taxes will be added to, or stated as included in, the commission as required by law.
9. Payment collection
a. You appoint us, and we accept the appointment, as your limited agent solely for the purpose of collecting payments from Customers on your behalf through our Payment Processor. A Customer's payment to us through the Platform fully discharges that Customer's payment obligation to you for the Order, regardless of when or whether we subsequently release the funds to you.
b. Amounts pending release to you are held within our Payment Processor's settlement system. They are records of what you are owed, not deposits; they do not earn interest, and they cannot be transferred to any other person or business on the Platform.
10. Settlement: how and when you get paid
a. Settlement happens per Order Item, not per Order. Each Order Item's funds move through three stages: held (the release condition has not yet been met), eligible (it has), and paid (the funds have been transferred to you). Our commission is deducted from your share as part of this allocation.
b. The release condition depends on what was sold. The current conditions are:
- Physical products, delivery: 48 hours after delivery is confirmed, or the Platform's current release floor if longer.
- Physical products, pickup: 24 hours after the item is marked ready for pickup, or the Platform's current release floor if longer.
- Digital products: 1 hour after the Customer's access is granted at payment.
- Bookable services: on the Customer's confirmation that the service was delivered, or after your attestation window under Section 12 if the Customer has not confirmed sooner.
- Reservable spaces: after a 72-hour grace window following check-in.
- Event tickets: after the event ends, plus a grace window of up to 48 hours.
- Packages (multi-session): session by session as each session is redeemed, under the services rules; money unredeemed when the package expires is refunded to the Customer or reviewed under the Refunds and Cancellations Policy.
- Access passes: at purchase.
c. Release runs automatically on a frequent schedule, so eligible funds move without you needing to do anything. The windows above are the current Platform defaults; the timings shown to you on the Platform for a given Order Item govern that item.
d. If a Customer opens a dispute on an Order Item, settlement of that item is frozen immediately and remains frozen until the dispute is resolved under Section 9 of the General Terms. If an Order Item is refunded, the corresponding amount is reversed out of settlement.
11. Payouts, bank accounts, and offsets
a. Payouts are made only to a bank account you have added and we have verified. Verification means the account name is confirmed through our Payment Processor's bank account resolution service; the name on record comes from your bank's own response, and cannot be typed or altered by you or anyone else. Each Business can hold no more than one primary payout account at a time.
b. There is no minimum payout amount, and individual payout requests are capped at ₦10,000,000; larger balances are paid across multiple requests. Transfer fees charged by our Payment Processor for payouts are currently borne by us and are not deducted from your payout. If this changes for future payouts, we will give notice under Section 20 of the General Terms.
c. We may delay, withhold, or reverse a payout, or offset amounts against your Pending Funds or future settlements, where reasonably necessary to: cover refunds due to Customers; cover payment reversals or chargebacks initiated through the card networks or our Payment Processor in respect of your Orders; comply with law, a court order, or a requirement of our Payment Processor; or investigate suspected fraud or a serious violation of this agreement. We will tell you when we do this and why, unless the law prevents us.
12. Attestation and confirmation duties for services
a. When you deliver a booked service, you must confirm (attest) on the Platform that you did. The Platform reminds you during the attestation window, with a final escalated reminder before the deadline.
b. If neither you attest nor the Customer confirms, and the attestation window (currently 72 hours) plus the final deadline (currently 5 days after the service was due) passes without your attestation, the Customer is refunded in full and you forfeit payment for that booking. Refunds below the Platform's review threshold (currently ₦50,000) execute automatically; at or above it, the refund goes through our team's review before it is paid. Money does not default to you through silence.
c. A Customer's cancellation before the service's start time takes precedence over an early attestation and follows the ordinary cancellation tiers. Once the start time has passed and you have attested, the booking can no longer be cancelled; a Customer who disagrees is directed to the dispute process, so the disagreement is resolved on evidence.
13. Vendor cancellations and quality records
a. If you cancel a confirmed Order Item or booking, the Customer is refunded 100% of what they paid for it, regardless of any cancellation tier, and we forgo our commission on it.
b. Vendor cancellations of bookings and of individual Order Items are recorded on your Business's quality record. Your own history is visible to you, and quality information may inform how your Business is presented, ranked, or restricted on the Platform.
c. Before you confirm a cancellation, the Platform shows you these consequences. Confirming is your acceptance of them.
14. Event organisers
a. A published paid event must carry a refund policy. The Platform will not allow the alternative.
b. Your refund policy is snapshotted onto each ticket at the moment of its purchase. You cannot worsen a sold ticket's refund terms after the fact.
c. Ticket capacity is enforced at payment. The Platform will not oversell your event, and sold counts derive from paid admissions, not display estimates. Check-in is recorded once per ticket.
d. If you cancel an entire event, every live ticket-holder is refunded in full, exactly once, and each is notified by email. This runs automatically once you confirm the cancellation, and Section 13 applies.
e. You may remove an individual attendee, in which case that attendee is refunded in full and receives a notice that makes clear the event itself is still on.
15. Customer refunds and disputes
a. Customer cancellations and refunds against your Listings follow the OrderFastNow Refunds and Cancellations Policy, as displayed at checkout for each Order.
b. When a Customer opens a dispute on one of your Order Items, you are expected to respond and may submit your own account and evidence. Settlement of the disputed item is frozen while the dispute is open, and the resolution determines how the frozen funds move. Knowingly giving false evidence in a dispute is a serious violation of this agreement.
16. Taxes
You are solely responsible for determining, charging, collecting, and remitting all taxes that apply to your sales, including value added tax and your own income taxes. Prices you set should account for any taxes you are required to charge. We are responsible only for taxes on our own commission.
17. Third-party personal data
Where you provide personal data of any third party to the Platform, including the names and phone numbers of your riders or Delivery Agents, you confirm that you are entitled to share that data with us and with the Customers who receive it for delivery coordination, and that you have met your own obligations under applicable data protection law in doing so.
18. Termination and funds in flight
a. We may suspend or terminate your Business or this agreement as set out in Section 15 of the General Terms. You may close your Business or your account at any time; the account deletion process is described in the Privacy Policy.
b. Termination does not erase what is already in flight. Orders placed before termination remain governed by this agreement: Pending Funds are still released, refunded, or resolved through disputes exactly as these Vendor Terms provide, outstanding refund obligations survive, and Sections 8 through 11, 13, 16, and 19 survive termination.
19. Indemnity
You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal costs) brought by a third party arising out of: your Listings and the products, services, spaces, and events behind them; your fulfilment, delivery arrangements, riders, and Delivery Agents; your taxes; your content; your provision of third-party personal data; or your breach of this agreement or of law.
20. Application of the General Terms
The General Terms' provisions on availability and changes to the Platform, suspension, disclaimers, limitation of liability, governing law and dispute resolution, changes to terms, and general provisions (including notices and electronic communications) apply equally to these Vendor Terms. In particular, changes to money rules do not apply retroactively to transactions already made.
